By using this website and accessing the services offered therethrough, you are agreeing to be bound by and comply fully with these Terms and Conditions (T&C), in addition to the State of Iowa's accessibility, data and privacy policies. You agree that these T&C are enforceable as a written agreement between you and the Iowa Economic Development Authority and Iowa Finance Authority (collectively referred to herein as IEDA | IFA). Please read these T&C carefully.

Use of Website

You must be at least eighteen (18) years old to use this website and access the services offered therethrough. If you use this website on behalf of an entity, you represent that you are duly authorized to represent the entity and accept these T&C and the Privacy Policy set forth below on behalf of your entity. The terms "you" and "your" in these T&C apply to your entity and all employees of the entity accessing the website.

You will not, shall not authorize, or shall not encourage any third party to: (i) use this website or access services therethrough for any purpose that is unlawful, fraudulent or prohibited by these T&C; (ii) upload, transmit or distribute any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, contains viruses, or is otherwise objectionable as reasonably determined by the IEDA | IFA; (iii) use any robot, spider, other automated device, or manual process to monitor or copy any content from or accessed through this website; (iv) use this website in any manner that could damage, disable, overburden or impair any server or networks connected to this website, or interfere with any other party's use of this website; (v) attempt to gain unauthorized access to the website through hacking, password mining, artificial intelligence or any other means not intentionally made available through this website; (vi) access this website through an IP address located outside the United States without express written permission of the IEDA | IFA; and (vii) resell, duplicate, make derivative works of, reproduce or exploit any content from this website without express written permission of the IEDA | IFA.

You maintain sole responsibility for notifying the IEDA | IFA of any breach of these T&C by anyone accessing this website on your behalf, as well as taking remedial steps to remedy the breach.

Public Disclosure

Information submitted by users of this website (Users) or otherwise collected through this website may be subject to public examination and inspection if such information is "public record," as defined in Iowa Code Chapter 22, or if not otherwise protected from disclosure.

Access to public records at state and local levels of government in Iowa is controlled primarily by Iowa Code Chapter 22 and may be posted for electronic access.

As a general rule, the IEDA | IFA will not disclose any personally identifiable information (PII), such as e-mail addresses, social security numbers, home addresses, names and telephone numbers, collected online to entities outside of State of Iowa departments and agencies except where you have given the IEDA | IFA permission or where the information is "public record" under Iowa Code Chapter 22 or the IEDA | IFA is otherwise required by law to make a disclosure. Users are directed to read the Privacy Policy set forth below for more information.

License and Storage of Data

As a User, you are granting the IEDA | IFA a non-exclusive, royalty-free, perpetual, irrevocable and sublicensable license to use, copy, distribute, display, reproduce, transmit and modify information and data you submit to the IEDA | IFA on or through this website subject to these T&C and the IEDA | IFA’s practices outlined in the Privacy Policy set forth below. Users are directed to read the Privacy Policy, including the IEDA | IFA’s policies pertaining to the handling of PII.

Security Policies

The IEDA | IFA shall establish such data retention and security policies with respect to this website, the services offered therethrough and the protection of User data and information as it deems reasonable and appropriate to comply with applicable data processing laws.

No method of transmission over the internet or method of electronic storage is 100% secure and reliable, and the IEDA | IFA cannot guarantee absolute security. You are solely responsible for protecting your PII and privacy by taking appropriate steps to safeguard your username and password. If you suspect fraudulent activity with your account, immediately complete the Report Suspicious Activity form and alert the IEDA | IFA. The IEDA | IFA will not be liable for any loss or damage resulting from your failure to safeguard your username and password.

The IEDA | IFA specifically disclaims any representation that your use of this website or access to the services offered therethrough will be uninterrupted or error-free, or that defects in this website or any of the services offered therethrough, if any, will be corrected. The IEDA | IFA is not responsible or liable for the deletion, corruption, alteration of, or failure to store any data or information. The IEDA | IFA does not pre-screen, nor is it responsible for, the content of any data or information submitted by any User through this website.

The IEDA | IFA is not responsible for problems related to technical malfunctions of electronic equipment, computer online systems, servers, internet service providers, computer hardware or software failures, phone lines, failure of any data or information to be received on account of technical problems, traffic or congestion on the internet or the website, or for any communications-related problems, including failed, lost, delayed, incomplete, garbled or misdirected communications, which may limit a User's ability to use this website and access any services therethrough. The IEDA | IFA has certain governmental immunities pursuant to Iowa Code Chapter 669, as it now exists and may be amended from time to time. By enacting these T&C, the IEDA | IFA does not waive any of its immunities pursuant to Iowa Code Chapter 669. In no event shall the IEDA | IFA be liable for any damages of any kind arising from your use or the performance of this website, including without limitation those resulting from any inaccurate, incomplete or out-of-date information contained on or accessed through this website, or the deletion, corruption, alteration of, or failure to collect or store any data or information.

Governing Law

These T&C shall be governed in accordance with the laws of the State of Iowa and any action, including any proceeding of a quasi-judicial or judicial nature, relating to or arising out of these T&C and your use of this website or services offered therethrough, shall be brought in the Iowa District Court for Polk County or, should the aforementioned court lack jurisdiction, in the United States District Court for the Southern District of Iowa.

If any part of these T&C is invalid or unenforceable under applicable law, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the T&C shall govern such use.

Changes to Terms and Conditions

The IEDA | IFA may update these T&C and its Privacy Policy from time to time and will indicate a "Last Updated" date at the top. Users should review these T&C frequently for any changes. Changes are effective immediately after they are posted on this website. By using this website and accessing the services therethrough you are agreeing to be bound by the then current version of these T&C. Contact the IEDA | IFA if you have any questions about these T&C.

Termination of Use

The IEDA | IFA reserves the right to terminate or suspend your right to use this website or access the services offered therethrough for any violations of these T&C. User accounts and their associated IP addresses which are deemed by the IEDA | IFA to be a fictitious identity or impersonation, or created to circumvent these T&C will be blocked. If a User's account information is inaccurate or a User account is deemed inactive by the IEDA | IFA, the User account will be de-activated and further access by the User will be blocked. Users who have had their accounts deactivated may request reactivation provided they are otherwise in compliance with these T&C by contacting the IEDA | IFA.


Privacy Policy

This Privacy Policy applies to information and data on or accessed through this website, including information about Users and their accounts. By using this website and accessing the services offered therethrough, you are accepting the practices described herein, as well as the policies set forth in the State of Iowa's accessibility, data and privacy policies.

Users are required to submit certain data and information, including personally identifiable information (PII). PII is information pertaining to an individual which may be used to associate with or identify the individual, such as e-mail addresses, social security numbers, home addresses, names, and telephone numbers. The IEDA | IFA will collect and store PII submitted through this website. The IEDA | IFA will not use or share PII with another party except as described in this Privacy Policy.

Information Collection and Retention

The IEDA | IFA collects and stores User data and information, including PII, to schedule and track its services, conduct its services, improve workflow and expedite User experiences, respond to your requests, and contact you regarding services provided by the IEDA | IFA.

The IEDA | IFA will retain your information, including PII, for as long as required for the purposes described in the T&C and this Privacy Policy unless a longer retention period is required by applicable law. Criteria used to determine the period of retention include, but are not limited to, the following: (1) date of your last activity on this website and usage of this system; and (2) whether retention is advisable in light of the IEDA | IFA's legal position, such as enforcement of rights, resolution of disputes, applicable statutes of limitations, litigation or regulatory investigation.

Information Disclosure

The IEDA | IFA will not sell or otherwise share PII to any third party except under the following circumstances: (1) third party service providers (Service Providers) retained by the IEDA | IFA for the purposes set forth below under “Service Providers”; (2) other state and federal agencies to the extent the subject information relates to those agencies; and (3) to comply with applicable state or federal law, including Iowa Code Chapter 22, or to respond to valid legal process.

Service Providers

The IEDA | IFA may employ Service Providers for the following purposes: (1) facilitate the services provided by the IEDA | IFA; (2) perform services related to the IEDA | IFA's services; (3) assist the IEDA | IFA in analyzing how its services are used; (4) verify the identity of a User and PII submitted to the IEDA | IFA; and (5) detect and address security threats, investigate and prevent malicious conduct or fraudulent activity, and detect and prevent violations of the T&C and Privacy Policy.

Your PII may be disclosed to these Service Providers. These Service Providers are obligated not to publicly disclose or use PII for any purpose other than for the purposes set forth in this Privacy Policy.
